IMPORTANT READ CAREFULLY:

This Araelium Group End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Araelium Group for the Araelium Group software product identified above, which includes "online" or electronic documentation and may include computer software and associated media and printed materials (the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you are not authorized to use the Software.

1. GRANT OF LICENSE

The license granted to you herein is conditioned on your compliance with the terms and conditions in this EULA.

• (i) The license permits either: (a) a single user to install and use the Software on multiple computers; or (b) multiple users to use the Software on a single shared computer. A single license does not allow multiple users to ever use the Software on multiple computers, regardless of whether such use is concurrent.
• (ii) You may use the Software for commercial or non-commercial purposes.
• (iii) A purchased license and all of the grants thereof may be permanently transferred to another person or entity, provided the Software has not been used by you, and the recipient agrees to the terms of this EULA. If the Software is an upgrade, any transfer must include all prior versions of the Software from which it was upgraded.
• (iv) You may make copies of the Software solely for backup or archival purposes.

2. PRE-RELEASE and EVALUATION VERSIONS

"Preview", "Beta", and other "Pre-release" versions, if available, are provided for a time-limited period for the evaluation and initial product testing use. Pre-release versions are not licensed for extended use. An unlicensed "Trial"/"Demo" copy, if available, is provided for evaluation use, and are not licensed for extended use. The evaluation period and terms expressed by the Software (whether time-limited or use-limited) must be adhered to.

4. OTHER RIGHTS AND LIMITATIONS

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold. Your possession, installation, or use of the Software does not transfer to you any title to the intellectual property in the Software, and you will not acquire any rights to the Software except as expressly set forth in this EULA. You agree you will not translate, decompile, reverse engineer, disassemble, modify, copy, alter, merge into other software, reproduce, rent, lease, lend, distribute, or re-market the Software or any part thereof.

5. COPYRIGHT

All title and copyrights in and to the Software and any copies thereof are owned by Araelium Group. All title and intellectual property rights in and to the content which may be accessed through use of the Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content.

Araelium Group reserves the right and the sole discretion to

• (A) make improvements, corrections, adaptations, conversions and/or any other change to the Software;
• (B) change, limit, terminate or cease to provide, at any time, temporarily or permanently, without prior notice, for any reason or no reason, to all users or any number thereof of the Software and its availability and functionality,
• (C) establish new operating and usage policies for the Software or change them at any time temporarily or permanently without prior notice, for any reason or no reason.

6. NO WARRANTIES AND NO LIABILITY FOR DAMAGES

YOU EXPRESSLY AGREE THAT DOWNLOADING THE SOFTWARE AND ANY USE OF THE SOFTWARE IS AT YOUR OWN RISK. NO WARRANTY, REPRESENTATION, CONDITION, UNDERTAKING OR TERM - EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE - INCLUDING BUT NOT LIMITED TO THE CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, STABILITY, RELIABILITY, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OR USE OF THE SOFTWARE IS GIVEN OR ASSUMED BY ARAELIUM GROUP. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, UNDERTAKINGS AND TERMS ARE HEREBY EXCLUDED. ARAELIUM GROUP MAKES NO WARRANTY THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE; THE SOFTWARE IS PROVIDED "AS IS". IN NO EVENT SHALL ARAELIUM GROUP BE LIABLE TO ANY PARTY FOR ANY DAMAGES INCLUDING WITHOUT LIMITATION, ANY DIRECT, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, LOSS OF PROFITS AND SAVINGS AND THE LIKE), OR ANY OTHER DAMAGES ARISING - IN ANY WAY, SHAPE OR FORM - OUT OF THE AVAILABILITY, USE, RELIANCE ON, INABILITY TO UTILIZE OR IMPROPER USE OF THE SOFTWARE EVEN IF ARAELIUM GROUP SHALL HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, OR OTHERWISE.

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSIONS OF INCIDENTAL AND CONSEQUENTIAL DAMAGES MAY NOT APPLY TO YOU. ANY WARRANTIES THAT BY LAW SURVIVE THE FOREGOING DISCLAIMERS SHALL TERMINATE THIRTY (30) DAYS FROM THE DATE YOU DOWNLOADED OR OTHERWISE RECEIVED THE SOFTWARE.

NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), THE ENTIRE CUMULATIVE LIABILITY OF ARAELIUM GROUP, ITS AFFILIATES AND ANY OF THEIR SUPPLIERS, WHETHER IN CONTRACT (INCLUDING ANY PROVISION OF THIS LICENSE AGREEMENT), TORT, OR OTHERWISE, AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING, SHALL BE LIMITED TO THE GREATER OF DIRECT DAMAGES IN THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE AND/OR SERVICES OR U.S.$5.00. THE FOREGOING LIMITATIONS, EXCLUSIONS, AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ARAELIUM GROUP, ITS AFFILIATES AND ANY OF THEIR SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.
